David Thomas is a partner in Wilson Sonsini Goodrich & Rosati's compensation and benefits practice. For more than two decades, Dave has provided legal and practical guidance on compensation and benefits issues to companies throughout the Silicon Valley ecosystem, including their compensation committees and boards of directors. Dave also represents special committees and committees of independent directors with respect to governance issues associated with executive compensation.

In compensation and benefits matters, Dave guides clients through issues with a multifaceted lens that takes into account all stakeholders and key constituents. Like his Wilson Sonsini colleagues, Dave counsels his clients to consider the wider picture.  For instance, when a client’s desired path to a preferred outcome presents legal, tax, or shareholder relations challenges, he and his colleagues will often recommend alternative and innovative paths to reach the same goal.
